1. Introduction and Acceptance of Terms

These User Terms & Conditions ("Terms") govern your access to and use of the TeamZoro platform, including all mobile applications, websites, software, tools, and related services (collectively, the "Platform"), operated by TeamZoro (Private) Limited, a company incorporated in Sri Lanka ("TeamZoro," "we," "us," or "our").

By accessing, browsing, registering for, or using the Platform in any manner, you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not access or use the Platform.

2. Platform Nature and Marketplace Disclaimer

TeamZoro operates solely as a technology-enabled marketplace that facilitates connections between users and independent third-party sellers, service providers, and delivery partners. TeamZoro does not own, sell, manufacture, provide, or control any products or services listed on the Platform.

All transactions are conducted directly between users and third-party providers. TeamZoro is not a party to those transactions and does not guarantee quality, legality, safety, accuracy, or performance.

Accordingly:

• TeamZoro is not a merchant, service provider, or delivery company.
• Providers operate independently and at their own risk.
• Any contractual relationship is strictly between the user and the provider.

3. User Eligibility and Account Responsibilities

Use of the Platform is limited to individuals who are legally capable of entering into binding agreements under applicable law. By creating an account, you represent that all information you provide is accurate, complete, and kept up to date.

You are solely responsible for all activity conducted through your account, whether authorized or unauthorized.

You agree that:

• You will safeguard your login credentials.
• You will not share accounts or impersonate others.
• You will notify TeamZoro immediately of suspected misuse.

TeamZoro reserves the right to suspend or terminate accounts that violate these Terms or applicable law.

4. Payments, Escrow, and Funds Handling

All payments for products and services are processed through the Platform. Users authorize TeamZoro to collect payments on behalf of third-party providers and to temporarily hold such funds in accordance with Platform rules.

Funds are held for risk management, dispute resolution, and operational integrity.

Key terms include:

• Payments are made to TeamZoro as an intermediary.
• Funds are released only after completion criteria are met.
• Currency is Sri Lankan Rupees (LKR).
• TeamZoro does not earn interest on held funds.

5. Completion, Delivery, and the 24-Hour Protection Window

TeamZoro provides a limited 24-hour post-completion protection window designed to address non-delivery, non-performance, or materially defective fulfillment.

This window begins at the recorded time of completion or delivery confirmation.

During this window:

• Users may file disputes for eligible issues.
• Evidence may be requested from all parties.
• Failure to raise disputes within 24 hours constitutes acceptance.

6. Refund Eligibility and Merchant Policies

Refunds are not automatic and depend on the nature of the issue, merchant policies, and TeamZoro's evaluation.

While some merchants may offer extended return windows (7, 14, or 30 days), such policies are merchant-specific and do not override TeamZoro's baseline protections.

Importantly:

• Change-of-mind refunds are not guaranteed.
• Merchant-declared no-refund policies are respected.
• Fraudulent claims void refund eligibility.

7. Partial Refunds and Platform Fee Treatment

In cases where partial fulfillment has occurred, TeamZoro may determine that a partial refund is appropriate. Such determinations are based on evidence, provider input, and fairness principles.

Platform fees:

• Are refunded in cases of total provider failure or non-delivery.
• May be withheld in partial refunds where value was delivered.
• Are non-refundable in confirmed user-fault scenarios.

All refund determinations are final and binding, except where mandatory law provides otherwise.

8. Fraud, Abuse, and Misrepresentation

TeamZoro maintains strict anti-fraud controls. Users who engage in deceptive, abusive, or manipulative behavior forfeit Platform protections.

This includes but is not limited to:

• False or repetitive disputes.
• Misrepresentation of facts.
• Attempting to bypass Platform payment systems.
• Collusion or bad-faith conduct.

Confirmed abuse may result in permanent account termination and loss of all protections.

9. User Conduct Standards

Users must conduct themselves lawfully, respectfully, and in good faith. The Platform may not be used for illegal, harmful, or disruptive purposes.

Prohibited conduct includes:

• Harassment or intimidation.
• Interference with Platform systems.
• Exploiting technical vulnerabilities.
• Off-platform solicitation.

10. Age and Product Visibility Controls

While the Platform does not offer age-restricted services, certain products may be subject to age-based legal restrictions.

TeamZoro reserves the right to:

• Restrict visibility of products.
• Require confirmations where legally necessary.
• Remove listings that violate age-related laws.

11. Account Suspension and Termination

TeamZoro may suspend or terminate access where necessary to enforce these Terms, comply with legal obligations, or protect Platform integrity.

Suspension or termination may occur with or without notice depending on severity.

12. Limitation of Liability

To the fullest extent permitted by law, TeamZoro disclaims all liability arising from provider conduct or omissions, product defects or service quality, and delays, losses, or damages.

Where liability cannot be excluded, it is limited to the minimum amount required by law.

13. Indemnification

You agree to indemnify and hold TeamZoro harmless from all claims, damages, costs, and expenses arising from your use of the Platform, your violation of these Terms, or disputes with third parties.

14. Governing Law, Jurisdiction, and Updates

These Terms are governed by applicable law in the user's jurisdiction, subject to mandatory consumer protections. TeamZoro may update these Terms to reflect legal, operational, or geographic expansion.

Continued use constitutes acceptance of revised Terms.
